With broad experience in commercial lending, we counsel lenders on "front-end" commercial loan matters, including document drafting in asset-based, real estate-secured and unsecured credit facilities. Our attorneys also assist in document review, including counseling lender representatives and reviewing lender-prepared documents, title insurance and other borrower submissions. We have experience in special programs such as Section 103 tax-exempt bond issues for industrial development projects and charitable institutions, PEDFA, PIDA, BID, SBA, SEDCO, MELF, Sunny Day Fund and ESOP lending, among others. We represent lenders in legal proceedings to enforce rights granted to them under loan documents or afforded to them under the Uniform Commercial Code and real estate collateral documents.

Our finance attorneys devote a substantial portion of their practice to the representation of lenders in commercial loan transactions and the various parties in bond transactions are well-versed in the documentation, recording and filing requirements for the financial industry.

We counsel lenders and prepare loan documentation for loan transactions, including syndicated transactions, club deals, letter of credit transactions, agricultural lending, floor plans, ESOP financing, LIBOR-based lending, acquisition financing, construction loans, term loans, lines of credit, swap transactions, real estate-driven loans, and unsecured credit facilities. We have experience in the preparation and review of loan documents for various financial institutions for in-state and out-of-state use. We also provide counsel to out-of-state financial institutions regarding the legal aspects of conducting business in Pennsylvania. Members of the team also have significant experience representing borrowers in complex and sophisticated loan transactions and understand the borrowers’ perspective.

In the creditors’ rights area, our attorneys represent creditors in situations involving complex commercial financing, consumer loans, sales, leases, and other transactions. Our goal is to provide effective solutions in debtor/creditor situations that maximize revenue and reduce expenses for our clients. We also advise creditors on preventative measures in loan documents, leases, agreements, credit policies, and collection procedures.

Our attorneys have substantial experience serving in all aspects of tax-exempt and taxable bond transactions, including bond counsel, borrower’s counsel, underwriter’s counsel, letter of credit bank counsel and trustee’s counsel. We also assist clients with general obligation bonds, revenue bonds, TRANS, Industrial Development Authority financings and other conduit financings, letter of credit backed variable rate demand bonds, guaranteed revenue bonds and interest rate swaps.
